Terms of Service

Agreement to Terms

By accessing or using the services provided by Grand Concept ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

Services Provided

Grand Concept provides professional design services including but not limited to:

• Brand identity development and brandbook creation
• UI/UX design for websites and applications
• Graphic design for digital and print media
• 2D/3D visualization and rendering
• Presentation and commercial proposal design
• Digital design consulting services

Project Agreements

Each project will be governed by a separate project agreement or proposal that outlines:

• Scope of work and deliverables
• Project timeline and milestones
• Pricing and payment terms
• Number of revision rounds included
• Specific terms applicable to that project

In the event of any conflict between these Terms of Service and a project agreement, the project agreement shall prevail.

Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for project completion
• Respond to requests for feedback and approvals in a timely manner
• Make payments according to the agreed-upon schedule
• Provide all required materials, content, and assets as specified
• Communicate clearly and professionally with our team
• Respect our intellectual property and working processes

Payment Terms

Payment terms are as follows:

• A deposit is required before work begins on any project
• Final payment is due upon project completion and before final file delivery
• Invoices are payable within 14 days of issuance unless otherwise agreed
• Late payments may incur a fee of 1.5% per month or the maximum allowed by law
• We reserve the right to suspend work on projects with overdue payments

Intellectual Property Rights

Ownership: Upon full payment, you will own the final approved deliverables. However, Grand Concept retains ownership of all preliminary concepts, drafts, and unused designs.

Portfolio Rights: We reserve the right to display completed work in our portfolio, website, and promotional materials unless otherwise agreed in writing.

Third-Party Assets: Any stock images, fonts, or other third-party assets used in your project may require separate licensing, which is your responsibility unless otherwise agreed.

Revisions and Changes

Each project includes a specified number of revision rounds. Additional revisions beyond the agreed-upon amount will be billed at our standard hourly rate. Major scope changes may require a new project agreement and additional fees.

Project Timeline

We will make every effort to meet agreed-upon deadlines. However, timelines are estimates and may be affected by:

• Delays in receiving client feedback or materials
• Scope changes or additional revision requests
• Unforeseen circumstances or force majeure events

We are not liable for any losses resulting from project delays unless caused by our gross negligence.

Confidentiality

We respect the confidentiality of your business information and will not disclose any proprietary or sensitive information to third parties without your consent, except as required by law or necessary to complete the project.

Limitation of Liability

Grand Concept's liability for any claim arising from our services shall not exceed the total amount paid by you for the specific project in question. We are not liable for any indirect, incidental, or consequential damages.

Warranties and Disclaimers

We warrant that our work will be performed in a professional manner consistent with industry standards. However, we make no warranties regarding:

• The commercial success or performance of delivered designs
• Third-party services or products integrated into your project
• Results achieved through use of our deliverables

Termination

Either party may terminate a project agreement with written notice. Upon termination:

• You will pay for all work completed up to the termination date
• We will deliver all completed work upon receipt of payment
• Deposits are non-refundable except as outlined in our Refund Policy

Indemnification

You agree to indemnify and hold Grand Concept harmless from any claims, damages, or expenses arising from:

• Content or materials you provide for use in the project
• Your use of our deliverables in a manner not authorized by us
• Your violation of any third-party rights

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict of law provisions.

Dispute Resolution

Any disputes arising from these terms or our services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Albuquerque, New Mexico.

Force Majeure

We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, or government actions.

Severability

If any provision of these Terms of Service is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Modifications to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services constitutes acceptance of any modifications.

Entire Agreement

These Terms of Service, together with any project agreements and our Privacy Policy and Refund Policy, constitute the entire agreement between you and Grand Concept regarding our services.
